All rights reserved. Any person or company undertaking the services of Virtua Solutions Glasgow agrees to the terms and conditions set out below.
Intellectual property
The client will not hold Virtua Solutions Glasgow responsible for any infringement of copyright relating to text contained or supplied and or images contained or supplied, by the customer, within designs. It is also the responsibility of the client to ensure that no copyright infringement will occur in the use of their company name. Refunds will not be made in cases of such copyright infringement.
We strive to ensure that our website designs are original and do not infringe upon any existing trademarked design. In the unlikely event of this occurrence, then our limit of liability is to offer the client an alternative design. If at this design stage no agreement can be decided as to the design then the client shall be entitled to receive half of the setup fee returned to them on cancellation of the design. This is the maximum liability of Virtua Solutions Glasgow and this offer is subject to the discretion of Virtua Solutions Glasgow.
The client’s domain name is purchased on the behalf of their business for the sole intention of registering their website and website name. The domain name remains the property of Virtua Solutions Glasgow throughout the duration of the clients business relationship with them and if at any time due to any circumstance that the client wishes to claim or transfer the domain name to another host then Virtua Solutions Glasgow reserve the right to claim a £20 transfer payment before transfer completion. The client at this time has no other right to any content or structure forming their website and this remains fully the property of Virtua Solutions Glasgow who can edit or delete the website unconditionally.
Unapproved website designs shall remain the copyright of Virtua Solutions Glasgow and may not be reproduced without permission.
Virtua Solutions Glasgow reserves the right to reproduce any of its artwork, including approved web sites, for advertising and or promotional purposes.
Design of the website
Clients may request changes to the website design providing they are within reason and contribute positively to the overall operation and performance of the website and in relation to advice given by Virtua Solutions Glasgow.
Website approval
The design and launch of the website will be notified via email and this ends the design of the website and its features and content when the client gives final approval of a website.
On completion of the website, the client is then responsible for any associated marketing or promotional material required to promote or sell any products or services in relation to their business website.
Virtua Solutions Glasgow operates ‘webfreedom’ as its sole policy. This allows the client to have their website updated as part of their monthly management fee. Virtua Solutions Glasgow reserve the right to edit or delete the clients website without liability if the client defaults or cancels their monthly management fee for any reason therein.
Cancellation of the monthly fee payable to Virtua Solutions also prevents any financial compensation to the client in respect of previously paid monthly fees or the original setup fee included for the initial design. Payment, if any is solely at the discretion of Virtua Solutions Glasgow who will decide this on the merits of the situation and any imposing factors.

Client Obligation
The client shall provide Virtua Solutions Glasgow, free of charge, with any information, materials, documentation, resources and any other necessary information required to allow it to provide its services. The client will ensure that its staff, contractors and other service providers co-operate fully and in a reasonable response time to the requirements of Virtua Solutions Glasgow to enable the completion of the website.
Payment
Set-up payment must be paid in full before design is implemented and domain name has been registered.
Please be aware that under the terms of the Late Payment of Commercial Debts (Interest) Act 1998, we are entitled to impose a £100 late or cancelled payment charge as long as website remains live and customer requires its continuation.
Payments will be credited first to late payment charges and next to the unpaid balance.
The Client shall be responsible for all collection or legal fees necessitated by late payment or payment default. Virtua Solutions reserves the right to withhold delivery and any website editing privileges of any current work if accounts are not current or overdue invoices are not paid in full. All grants of any license to use or transfer of ownership of any intellectual property rights under this Agreement are conditioned upon receipt of payment in full which shall be inclusive of any and all outstanding Additional Costs, Taxes, Expenses, & Fees, Charges or the costs of Changes.
